By-Laws of the Winona Amateur Radio Club, Inc.

Section 1
Purpose

The purpose of this club, hereafter referred to as the WARC, is:
1. to promote the Amateur Radio Service in the community as a source of trained communications volunteers and communication equipment that can be utilized during civil and natural emergencies.
2. to construct and maintain communications facilities for the use of the entire Amateur Radio community during routine and emergency situations.
3. to promote the Amateur Radio Service as an educational and service-oriented hobby, and;
4. to serve as a focal point of activities for amateur radio operators in the surrounding community, so that they might further their communications skills and their knowledge of electronics and the "radio art."

In accordance with the Fifth Article of Incorporation, substantially all of the activities of this club are for the above stated purposes and no part of the net earnings of this corporation shall inure to the benefit of any private shareholder, member, or individual, except that the corporation shall be authorized to make payments and other compensation for services rendered and to make payments and distributions in furtherance of the purposes set set forth in Article Third thereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of, or in opposition to, any candidate for public office.

Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Section 2
Meetings

Regular meetings shall be held on the third Thursday of each month at 7:00 P.M. of each calendar month as such place as the President shall order. Special meetings may be called by the president upon written request of any five members of the club and for this purpose, the President may sign such a request. Notices shall be sent to all members informing them of the special meetings and the business to be transacted. Such notices shall be so sent that in the ordinary postal delivery they shall arrive at least twenty four hours before the time therein set for the meeting. Only such business as is designated in said notice shall be transacted at such special meeting. The Annual Meeting shall be the regularly designated business meeting of December.

Section 3
Dues

The WARC is a non-profit corporation in the State of Minnesota and derives its operating funds entirely from member dues, donations or grants, and special fund raising activities.

Annual dues are $25.00 and are payable in December of each year. Dues for new members who join the club after March are $2.00 per month through and including the following December. Dues are for individual memberships, except that two or more members living at the same address may all be members for $30.00.

Annual dues for those Elementary though High School age students whose parents are not club members shall be an annual fee of $5.00 until they finish High School or turn 18 years of age.
